MUTUAL NON-DISCLOSURE AGREEMENT
This agreement is made on 29/09/2026 at London between Northwind Ltd., 12 Main Street, London, and Contoso Consulting, 8 Market Square, Leeds (each a "Party").
1. Purpose. The Parties will share information for the purpose of discussing a possible software project.
2. Confidential information means any business, technical or financial information shared by one Party with the other, in any form, that is marked or reasonably understood to be confidential.
3. Obligations. Each Party will keep the other's confidential information secret, use it only for the purpose above and share it only with people who need to know it and are bound by the same duty.
4. Exceptions. This does not cover information that is public, was already known, is received lawfully from someone else, or must be disclosed by law.
5. Duration. These obligations last for three years from the date above.
6. Return of information. On request, each Party will return or destroy the other's confidential information.
7. Governing law. This agreement is governed by the laws of England and Wales.
