FREELANCE SERVICES AGREEMENT

This agreement is made at ____________ on 06/10/2026 between Alex Morgan of ____________ (the CLIENT) and ____________ (the FREELANCER).

The Freelancer shall perform the following project for the Client: ____________

2. Fee and payment
The Client shall pay Rs. 60,000 for the project: 50% advance, 50% on delivery. Invoices are payable within 7 days of receipt. Tax deducted at source, where applicable under the Income-tax Act, shall be deducted and a TDS certificate issued.

3. Delivery
The Freelancer shall deliver by ____________. The fee includes 2 rounds of revisions; further changes are charged separately by agreement.

4. Independent contractor
The Freelancer works as an independent contractor and not as an employee, chooses the method and hours of work and is responsible for their own taxes, tools and insurance.

5. Ownership
On full payment, the copyright in the final deliverables passes to the Client. The Freelancer keeps the right to show the work in a portfolio unless the Client asks otherwise in writing.

6. Confidentiality
Each party shall keep the other's confidential information private and use it only for this project, during and for two years after the agreement.

7. Termination
Either party may terminate on 7 days' written notice. The Client shall pay for work completed up to the date of termination.

8. Liability
The Freelancer's liability is limited to the fee received under this agreement, except for wilful misconduct.

9. Governing law
Indian law applies; disputes are subject to the courts at ____________.

FAQ

Is TDS deducted on freelance payments?

Companies and certain individuals must deduct TDS on professional or technical fees (Section 194J) and on contractor payments (Section 194C) above the thresholds in the Income-tax Act; the freelancer receives a certificate.

Does an agreement need to be on stamp paper or notarised?

It depends on the country and the type of agreement. Property, long leases and some loans need stamp duty, registration or a notary. Even where not required, signing in front of witnesses adds proof.

Can I change the clauses?

Yes. Delete what does not apply and add what you agreed. Both parties should initial every change before signing.

What if the other party does not sign?

Then there is no agreement. Get both signatures and keep a copy each.
