PARTNERSHIP DEED

This Deed of Partnership is made on 06/10/2026 between Alex Morgan (the FIRST PARTNER) and ____________ (the SECOND PARTNER), who agree to carry on business in partnership under the Indian Partnership Act, 1932.

1. Name and place
The firm shall be called Sharma & Verma Associates and its principal place of business shall be ____________.

2. Business
The firm shall carry on the business of Trading in stationery and any other business the partners agree upon.

3. Commencement
The partnership begins on 06/10/2026 and continues until dissolved under this deed or by law.

4. Capital
The capital contributions are Rs. 500,000 by the First Partner and Rs. 500,000 by the Second Partner; further capital may be brought in by mutual consent.

5. Profits and losses
Profits and losses shall be shared in the ratio 50. Interest on capital is allowed at 12% per annum, payable before profits are divided.

6. Duties
Each partner shall devote time and attention to the business, act in good faith and not engage in a competing business without the other's written consent.

7. Accounts and bank
Proper books shall be kept at the principal place of business, closed on 31 March each year. The bank account shall be operated jointly unless the partners decide otherwise.

8. Retirement and death
A partner may retire by giving three months' written notice. On retirement or death the retiring partner or the legal heirs shall receive the share due as per the accounts.

9. Dissolution
The firm shall be dissolved by agreement of the partners or as provided by the Partnership Act; accounts shall be settled and the assets applied first to debts, then to partners' capital, then in the profit-sharing ratio.

10. Disputes
Disputes shall be settled by arbitration under the Arbitration and Conciliation Act, 1996.
